Qualified candidates must have a J.D. degree and between 5 to 10 years of experience advising registered investment advisers and financial institutions providing investment management and advisory services and products. In-depth knowledge of the Investment Advisers Act of 1940 is required. Knowledge of the Investment Companies Act of 1940 would be an asset. Candidates with additional experience advising the investment management businesses of banks and/or large financial organizations will be preferred. The attorney working in this position will be expected to have or obtain in-depth knowledge of federal and state securities laws and regulations applicable to a national bank?s investment management activities. Excellent analytical skills as well as excellent communication (both written and oral) and interpersonal skills are required.

We are looking for an attorney to join the PCG Legal Group to provide legal advice to the institutional investment management and investment advisory businesses within the BMO and Harris Bank Private Client Groups, with particular emphasis on supporting Harris Investment Management, Inc. (?HIM?). This position will be located in Chicago and will report directly to the Chief Counsel, Investment Funds located in Toronto, Ontario (Canada).
We are looking for an experienced attorney to provide legal services to the institutional investment management and investment advisory businesses within the BMO and Harris Bank Private Client Groups, particularly in respect of HIM?s institutional investment management business. HIM is part of BMO Asset Management, the umbrella structure for BMO Financial Group?s regional asset management companies. The attorney will exercise independent legal judgment on investment management issues, balanced against business risk and policy considerations in consultation with management. He or she will be primarily responsible for providing legal support to HIM, an SEC-registered investment adviser. In particular, working closely with the firm?s chief compliance officer, this attorney will analyze regulatory, investment and trading issues, review and negotiate client, subadviser, and vendor contracts, review marketing materials, provide training, provide audit and examination support, assist in updates to the Forms ADV, participate in risk and operational matters, and provide guidance to internal committees. Duties may include corporate governance and secretarial work. He or she will also be responsible for providing similar support to HIM?s SEC-registered investment adviser subsidiary ? HIM Monegy, Inc. HIM Monegy, part of BMO Asset Management, provides high-yield debt specialty investment advisory services to institutional clients in both a direct and sub-advisory capacity.
In addition, the attorney will be expected to take on various responsibilities providing legal support to HIM, specifically, and the Private Client Groups, generally. This will include advising on various legal and regulatory issues confronting registered investment advisers, supervising external counsel, participating in mergers and acquisitions, performing due diligence, participating in internal training seminars, reviewing policies, directives and procedures, taking part in various Legal Department initiatives and providing support to Private Client Group marketing efforts and new product development.
